Agreement to Our Legal Terms

We are Michigan Truck Spring of Saginaw, Inc. ("Company," "we," "us," "our"), a company registered in Michigan, United States at 3649 Wolf Road, Saginaw, MI 48601.

We operate the website https://www.truckspring.com (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

TruckSpring.com is the e-commerce website of Michigan Truck Spring of Saginaw, Inc., a Michigan-based supplier of suspension, towing, trailer, brake, body, electrical, steering, and accessory parts for light-, medium-, and heavy-duty trucks and trailers. Founded in 1926 and located in Saginaw, Michigan since 1976, we have been selling online since 2001 and serve individual vehicle owners, repair facilities, commercial fleets, and other businesses throughout the United States. We may also accept orders for delivery to certain international destinations.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Michigan Truck Spring of Saginaw, Inc., concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental purchase, account, product, or service terms that we expressly identify as incorporated into these Legal Terms are incorporated by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms from time to time. We will alert you about any changes by updating the "Last updated" date of these Legal Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Legal Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Legal Terms by your continued use of the Services after the date such revised Legal Terms are posted.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

We recommend that you print a copy of these Legal Terms for your records.

1. Intellectual Property Rights

Our intellectual property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Our Content and Marks are protected by copyright and trademark laws (and various other intellectual property rights and unfair competition laws) and treaties in the United States and around the world.

The Content and Marks are provided in or through the Services "AS IS" for use only as expressly permitted by these Legal Terms.

Your use of our Services

Subject to your compliance with these Legal Terms, including the Prohibited Activities section below, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • access and use the Services for their intended purpose; and
  • download or print a reasonable number of individual pages, product records, order documents, instructions, or other portions of the Content to which you have properly gained access, solely for your personal use or for the limited purpose of evaluating, purchasing, installing, maintaining, or using products obtained or considered for purchase through the Services.

This license does not permit you to copy, download, extract, reproduce, republish, distribute, sell, license, create derivative works from, or commercially exploit any substantial portion of the Services or Content, including product catalogs, application or fitment data, product descriptions, specifications, pricing, images, databases, or compilations, except with our prior written permission.

If you wish to make any use of the Services, Content, or Marks other than as set out in this section or elsewhere in our Legal Terms, please address your request to truckspring@truckspring.com. If we ever grant you permission to post, reproduce, or publicly display any part of our Services or Content, you must identify us as the owners or licensors of the Services, Content, or Marks and ensure that any copyright or proprietary notice appears or is visible on posting, reproducing, or displaying our Content.

We reserve all rights not expressly granted to you in and to the Services, Content, and Marks.

Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.

Your submissions

If you send us questions, comments, feedback, suggestions, ideas, photographs, documents, or other materials directly through email, customer service, forms, or other communications (collectively, "Submissions"), you retain any ownership rights you may have in those Submissions.

You grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, store, and share your Submissions as reasonably necessary to respond to you, provide customer service, process or support an order, improve our products or Services, address legal or safety concerns, or otherwise operate our business. You represent that you have the right to provide the Submissions and that our permitted use of them will not violate another person's rights.

Do not send confidential, proprietary, or sensitive information unless it is reasonably necessary for us to assist you. This subsection does not apply to reviews or other content submitted to third-party platforms, which are governed by those platforms' terms.

2. User Representations

By using the Services, you represent and warrant that:

  1. the registration and account information you provide is true, accurate, current, and complete;
  2. you will maintain and promptly update that information as needed;
  3. you have the legal capacity and authority to agree to these Legal Terms, including on behalf of any business or other entity you represent;
  4. you are at least 18 years old;
  5. you will not access the Services through automated or non-human means except as expressly permitted by these Legal Terms, our robots.txt file, our other published technical instructions, or our prior written authorization;
  6. you will not use the Services for any illegal or unauthorized purpose; and
  7. your use of the Services will comply with applicable law.

If information you provide is false, inaccurate, outdated, or incomplete, we may suspend or terminate your account, require additional verification, or refuse current or future use of all or part of the Services.

3. User Registration

You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account. You must notify us promptly if you know or suspect that your account or credentials have been accessed or used without authorization.

4. Products

We make reasonable efforts to display product descriptions, specifications, photographs, pricing, availability, and other information accurately. However, manufacturers may change products, packaging, specifications, applications, or availability without notice, and screen settings may affect how colors and images appear. All products are subject to availability, and we may discontinue or limit products at any time.

Fitment, specifications, and installation

Product descriptions, dimensions, compatibility information, and application or fitment data are provided as a general reference and may be based on information supplied by manufacturers or other sources. Vehicle configurations, production changes, modifications, prior repairs, measurements, and intended use may affect compatibility.

Before ordering or installing a product, you are responsible for confirming the part number, measurements, vehicle configuration, intended use, installation requirements, and any applicable legal restrictions. Contact us before ordering when fitment is uncertain. Products should be installed, inspected, maintained, and used in accordance with the manufacturer's instructions and by a qualified person when appropriate.

Manufacturer warranties

Products may be covered by warranties offered by their respective manufacturers. Unless we expressly provide a separate written warranty, Michigan Truck Spring of Saginaw, Inc. is not the manufacturer or warrantor of the products sold through the Services. Manufacturer warranties, if any, are subject to the manufacturer's terms, limitations, exclusions, and claims procedures. Our sale of a product or assistance with a warranty inquiry does not adopt, expand, or modify a manufacturer's warranty.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT FOR ANY EXPRESS WRITTEN WARRANTY WE SEPARATELY PROVIDE, WE DISCLAIM WARRANTIES ARISING FROM OUR SALE OF PRODUCTS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THIS DISCLAIMER DOES NOT LIMIT ANY MANUFACTURER WARRANTY OR ANY RIGHT OR REMEDY THAT CANNOT LAWFULLY BE DISCLAIMED.

5. Purchases and Payment

Accepted payment methods

We accept the following forms of payment:

  • Visa
  • Mastercard
  • American Express
  • Discover
  • PayPal
  • Debit cards bearing a Visa or Mastercard logo
  • Cashiers checks and certified checks
  • U.S. Postal Service money orders

We may also accept wire transfers or ACH payments for certain orders by prior arrangement. Additional verification and processing time may be required. Orders paid by wire transfer or ACH will not be fulfilled or shipped until payment has been received and confirmed.

Order information and charges

You agree to provide current, complete, and accurate purchase, billing, shipping, and account information and to update that information as needed so we can process your order and contact you. All prices and payments are in U.S. dollars unless we expressly agree otherwise in writing. Applicable sales tax, shipping charges, duties, and other charges may be added as required.

You agree to pay the prices and charges shown when your order is submitted, subject to correction of pricing, product information, or calculation errors. By placing an order, you authorize us to place an authorization hold with your selected payment provider for the order total and applicable charges. An authorization hold is not a completed charge. Payment cards are ordinarily charged when the applicable products ship. If an order ships in multiple packages or at different times, separate charges may be processed as items ship. Other payment methods may be processed according to the instructions provided during checkout or order processing.

Charges arising after shipment

Certain carrier charges cannot be determined until a shipment is in transit or has been delivered. These may include charges resulting from an unsuccessful delivery attempt, incorrect or incomplete delivery information, refused delivery, storage, redelivery, reclassification of a delivery address by the carrier, or services requested at the time of delivery. You agree that we may bill you for such charges, using the payment method used for the order or another method you provide, unless the charge resulted from an error by Michigan Truck Spring of Saginaw, Inc. We will contact you before billing whenever reasonably practicable. Additional detail is provided in our Shipping Policy.

Order submission and acceptance

Your submission of an order is an offer to purchase. An order acknowledgment, confirmation email, payment authorization, or other electronic communication confirms only that we received your order and does not constitute acceptance. We accept an order when we ship the applicable product or otherwise expressly confirm acceptance in writing.

Before acceptance, we may reject, limit, verify, or cancel an order because of pricing or product information errors, product availability, manufacturer restrictions, suspected fraud, payment issues, shipping limitations, or other legitimate business considerations. If we cancel an order after receiving payment, we will issue an appropriate refund.

Commercial customers

We welcome orders from dealers, resellers, distributors, repair facilities, fleets, purchasing departments, and other commercial customers. We may limit quantities, restrict sales of certain products, require additional verification, or reject or cancel orders based on manufacturer restrictions, authorized sales-channel requirements, suspected fraud, inventory availability, pricing errors, or other legitimate business considerations.

Any additional or different terms contained in a purchase order, procurement portal, acknowledgment, vendor form, or other customer document are rejected and will not become part of the agreement unless expressly accepted in a writing signed by an authorized representative of Michigan Truck Spring of Saginaw, Inc.

International orders

The customer is responsible for confirming that products may be lawfully exported to, imported into, and used in the destination country. Unless we expressly agree otherwise in writing, the customer or the customer's designated recipient acts as the importer of record and is responsible for customs clearance and all applicable duties, taxes, tariffs, brokerage fees, import fees, storage charges, and other import-related costs. We may refuse or cancel an order that cannot lawfully or reasonably be exported, imported, shipped, or delivered. Additional terms concerning international shipping, refused or unclaimed shipments, freight forwarding, returns, and non-refundable charges are provided in our International Orders page and our Return Policy.

6. Shipping

Please review our Shipping Policy and, for orders shipping outside the United States, our International Orders page before placing an order.

Both are incorporated into these Legal Terms by reference. By placing an order, you agree to the applicable provisions of those policies, including those concerning shipping methods, free shipping eligibility, estimated transit times, freight (LTL) shipments, delivery, inspection, concealed or visible damage, accessorial and delivery-related charges, customs and import responsibilities, and related claim procedures.

7. Title and Risk of Loss

Unless otherwise expressly agreed by us in writing, products are shipped FOB Shipping Point. Title to the products and risk of loss pass to you when we properly deliver the products to the carrier.

This allocation does not limit rights or remedies that cannot lawfully be waived, including rights concerning products that are not delivered, are damaged in transit, or do not conform to your order. You must promptly inspect deliveries and follow the delivery-inspection procedures in our Shipping Policy and the damage-reporting time limits and claim procedures in our Return Policy.

For freight (LTL) shipments, visible shortages or damage must be noted on the carrier's delivery receipt or Bill of Lading before the shipment is accepted, as further explained in our Shipping Policy. We will provide reasonable assistance with valid carrier claims, but failure to inspect the shipment or timely document and report damage may affect the availability or outcome of a carrier claim.

8. Returns

Please review our Return Policy before placing an order. It is incorporated into these Legal Terms by reference and covers return eligibility and time limits, condition and packaging requirements, Return Merchandise Authorization (RMA) requirements, restocking and shipping charges, damaged-item procedures and time limits, and product warranty and fitment.

9. Prohibited Activities

You may use the Services only for lawful purposes and in accordance with these Legal Terms. Commercial customers may use the Services to evaluate, purchase, install, maintain, and resell products as otherwise permitted by us and any applicable manufacturer or account terms.

When using the Services, you may not:

  • Violate any applicable law or regulation, or use the Services to harass, threaten, abuse, harm, defraud, or mislead us or any other person.
  • Misrepresent your identity or affiliation, impersonate another person, use false contact information, create accounts under false pretenses, or obtain or attempt to obtain another person's account credentials or confidential information.
  • Sell, transfer, assign, or otherwise provide unauthorized persons or entities with access to your user account.
  • Interfere with, disrupt, damage, or place an unreasonable burden on the Services or any connected system, including by transmitting malware, malicious code, spam, repetitive automated submissions, or other harmful material.
  • Circumvent, disable, bypass, or interfere with security features, access controls, rate limits, bot-detection systems, image-protection systems, or other technological measures used to protect the Services or Content.
  • Reverse engineer, decompile, disassemble, copy, or adapt software or code used by the Services, except to the limited extent such restriction is prohibited by applicable law.
  • Remove, obscure, or alter copyright, trademark, attribution, or other proprietary-rights notices appearing on or with the Services or Content.
  • Automated access. Use any robot, spider, scraper, script, data-mining tool, or other automated means to access, monitor, copy, download, extract, index, cache, mirror, or compile Content or data from the Services, except for legitimate public search-engine crawlers acting in accordance with our robots.txt file and other published technical instructions, or automated tools expressly authorized by us.
  • Reuse of Content. Copy, reproduce, download, capture, modify, distribute, publish, display, create derivative works from, or commercially reuse product photographs, images, videos, descriptions, specifications, pricing, product listings, fitment or application data, catalog information, or other Content; or use the Services or Content to create, populate, maintain, or enhance a competing product catalog, fitment or pricing database, price-comparison service, directory, marketplace, content service, training dataset, or other substitute for the Services or Content; or use any Content or data obtained from the Services to train, fine-tune, evaluate, test, develop, enhance, or operate any artificial intelligence, machine-learning, computer-vision, large-language-model, generative-AI, or similar system. Each of the foregoing is prohibited except as expressly permitted by these Legal Terms or with our prior express written consent. This restriction does not prohibit legitimate search engines, AI-assisted search services, shopping services, or product-discovery tools from crawling, indexing, analyzing, summarizing, citing, linking to, displaying, or recommending our publicly available products and Services in accordance with our robots.txt file and other published technical instructions, provided that such use does not create or populate a competing service, database, dataset, or substitute for the Services or Content.
  • Frame, mirror, embed, or misleadingly deep-link to any portion of the Services in a way that suggests sponsorship, endorsement, ownership, or affiliation without our prior written consent. Ordinary links to publicly available pages are permitted.
  • Collect usernames, email addresses, or other personal information from the Services for unsolicited marketing, or make improper use of customer-support channels or submit knowingly false reports.

10. Consumer Reviews and Feedback

Nothing in these Legal Terms, including the Prohibited Activities section, is intended to prohibit or restrict an honest review, rating, comment, photograph, video, or other assessment of our products, services, or conduct.

Customer reviews may be collected, hosted, displayed, or syndicated by third-party services such as Trustpilot, ResellerRatings, Google, or other review platforms. Content submitted to those services is governed by their applicable terms and policies. We may report or request removal of review content only as permitted by applicable law and the applicable platform’s policies. This may include content that is unlawful, knowingly false or misleading, defamatory, harassing, abusive, obscene, discriminatory, unrelated to the goods or services reviewed, or that discloses confidential or private information.

11. Third-Party Websites and Content

The Services may contain links to websites operated by others ("Third-Party Websites") and may display or make available text, photographs, videos, software, product information, reviews, applications, or other material supplied by third parties ("Third-Party Content"). A link or the availability of Third-Party Content does not by itself mean that we sponsor, control, or endorse it.

We do not control Third-Party Websites and are not responsible for their availability, accuracy, security, privacy practices, policies, products, services, or content. When you leave our Services or interact with a third party, that third party's terms and privacy practices apply. You should review them before providing information, downloading software, or completing a transaction.

Purchases made from a Third-Party Website are transactions between you and that third party. To the fullest extent permitted by law, we are not responsible for losses or harm arising from your use of Third-Party Websites, Third-Party Content, or products or services purchased from third parties.

12. Services Management

We may, but are not obligated to, monitor the Services for compliance with these Legal Terms. We may investigate suspected violations, restrict or suspend access, remove or disable Submissions or other material sent directly to us when appropriate, preserve relevant information, and report unlawful conduct to law-enforcement or other authorities.

We may also take reasonable steps to protect the security, availability, integrity, and proper operation of the Services, including limiting files, requests, traffic, or activity that is harmful, excessive, fraudulent, or burdensome to our systems.

13. Privacy and Cookies

We care about data privacy and security. Please review our Privacy Policy and our Cookie Policy, which describe how we collect, use, disclose, and protect personal information and the choices available to you.

The Services are hosted in the United States. If you access the Services from outside the United States, your personal information may be transferred to, stored in, and processed in the United States and other countries as described in our Privacy Policy. Where required by applicable law, we or our service providers use appropriate safeguards for international transfers.

14. Digital Millennium Copyright Act (DMCA) Notice and Policy

Notifications

If you believe material available on or through the Services infringes a copyright you own or control, please notify our Designated Copyright Agent identified below (a "Notification").

All Notifications should meet the requirements of DMCA 17 U.S.C. § 512(c)(3) and include the following information: (1) A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; (2) identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works on the Services are covered by the Notification, a representative list of such works on the Services; (3) identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material; (4) information reasonably sufficient to permit us to contact the complaining party, such as an address, telephone number, and, if available, an email address at which the complaining party may be contacted; (5) a statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (6) a statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed upon.

Counter Notification

If you believe material was removed or access was disabled as a result of mistake or misidentification, contact our designated copyright agent for information about submitting a counter-notification that complies with applicable law. Knowingly making a material misrepresentation in a copyright notice or counter-notification may result in liability.

15. Term and Termination

These Legal Terms remain in effect while you use the Services. We may suspend, restrict, or terminate access to the Services or an account when we reasonably believe it is necessary to enforce these Legal Terms, protect the Services or others, investigate fraud or unlawful activity, comply with law, or address security or operational concerns.

If an account is suspended or terminated, you may not evade the restriction by creating or using another account under a false, borrowed, or third-party identity. We may pursue other lawful remedies when appropriate.

Provisions that by their nature should survive termination will survive, including provisions concerning intellectual property, Submissions and other content, purchases and payment, product and service disclaimers, limitations of liability, indemnification, dispute resolution, governing law, and miscellaneous terms.

16. Modifications and Interruptions

We reserve the right to change, modify, update, suspend, discontinue, or remove all or part of the Services and their contents at any time and for any reason, at our sole discretion and without notice. We have no obligation to update any information on the Services. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.

We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems, or need to perform maintenance, resulting in interruptions, delays, or errors. You agree that we have no liability for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance. Nothing in these Legal Terms will be construed to obligate us to maintain and support the Services or to supply any corrections, updates, or releases.

17. Governing Law

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Michigan applicable to agreements made and to be entirely performed within the State of Michigan, without regard to its conflict of law principles.

18. Dispute Resolution

Informal resolution first

Before starting a court proceeding, the party raising a dispute must send the other party a written notice describing the dispute and the requested resolution. The parties will attempt in good faith to resolve the dispute informally for at least thirty (30) days after the notice is received. This requirement does not apply when immediate temporary or injunctive relief is reasonably necessary.

Notices to you may be sent to the email or mailing address associated with your account or order.

Small claims court

Notwithstanding the notice requirement and forum provision in this Section, either party may bring an individual claim in a small claims court that has jurisdiction.

Court proceedings and governing forum

If a dispute proceeds in court, it must be brought in a state or federal court located in or serving Saginaw County, Michigan, unless applicable law requires a different forum. The parties consent to the jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act do not apply.

19. Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO THE SERVICES, AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS, (2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES, (3) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (4) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES, (5) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY, AND/OR (6) ANY ERRORS OR OMISSIONS IN ANY CONTENT AND MATERIALS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES.

THIS DISCLAIMER CONCERNS THE SERVICES. PRODUCT WARRANTIES AND DISCLAIMERS ARE ADDRESSED IN SECTION 4 AND IN OUR RETURN POLICY.

20. Limitations of Liability

AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF USE, BUSINESS INTERRUPTION, LOSS OR CORRUPTION OF DATA, OR THE COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATING TO THE SERVICES, CONTENT, PRODUCTS, ORDERS, OR THESE LEGAL TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A PRODUCT WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC INDIVIDUAL PRODUCT GIVING RISE TO THE CLAIM.

The foregoing limitations do not limit our obligation to issue a refund expressly required under these Legal Terms or applicable law. Nothing in this Section excludes or limits liability for fraud, willful misconduct, death or personal injury caused by our negligence, or any liability or remedy that cannot lawfully be excluded or limited.

21. Indemnification

You agree to defend, indemnify, and hold harmless Michigan Truck Spring of Saginaw, Inc., its affiliates, and their respective directors, officers, employees, and agents from third-party claims, losses, liabilities, damages, and reasonable attorneys' fees arising from:

  1. your unlawful or unauthorized use of the Services;
  2. your material breach of these Legal Terms;
  3. your breach of a representation or warranty made in these Legal Terms; or
  4. your violation of another person's rights, including intellectual-property, privacy, or proprietary rights.

We may assume control of the defense of a matter subject to indemnification, in which case you agree to provide reasonable cooperation. We will use reasonable efforts to notify you after becoming aware of a covered claim.

22. Electronic Communications, Transactions, and Signatures

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that agreements, notices, disclosures, and other communications we provide electronically, by email or through the Services, satisfy any legal requirement that such communications be in writing.

You agree to the use of electronic signatures, contracts, orders, and records, and to the electronic delivery of notices, policies, and transaction records. To the extent permitted by law, you waive requirements for an original signature or for delivery or retention of non-electronic records.

24. Miscellaneous

These Legal Terms, together with the policies and operating rules expressly incorporated into them, constitute the agreement between you and us regarding the Services and purchases made through them. They do not supersede a separately signed dealer, distributor, credit, purchasing, supply, or other written agreement between you and Michigan Truck Spring of Saginaw, Inc. If a separately signed agreement conflicts with these Legal Terms, the signed agreement controls to the extent of the conflict.

Our failure to exercise or enforce a right is not a waiver of that right. We may assign our rights and obligations as permitted by law. We are not responsible for delay or failure caused by events beyond our reasonable control.

If any provision is unlawful or unenforceable, it will be severed or limited to the minimum extent necessary without affecting the remaining provisions. These Legal Terms do not create a partnership, joint venture, employment, franchise, fiduciary, or agency relationship between you and us. Electronic acceptance and records have the same effect as written acceptance and records to the extent permitted by law.

The information provided through the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation, or which would subject us to any registration requirement within such jurisdiction or country. Those who choose to access the Services from other locations do so on their own initiative and are responsible for compliance with local law to the extent local law applies.
